This Privacy Policy applies to the Proctaroo monitoring platform (the “Service”) owned and operated by Seea, Inc., doing business as Proctaroo (“Proctaroo,” “we,” “us,” “our”). It is intended to inform our customers (“Customers”) and their users (collectively, “Users,” “you,” “your”) how we collect, use, process, store, and disclose your personal information when you interact with our Service. This Privacy Policy also describes your choices regarding our use of your personal information and your ability to access, modify, or delete your personal information.

We are committed to protecting your privacy and complying with applicable laws, including the Family Educational Rights and Privacy Act (“FERPA”), the General Data Protection Regulation (“GDPR”), and U.S. state privacy laws (such as those in California).

1. Personal Information We Collect

“Personal information,” for the purposes of this policy, is information that identifies, relates to, or can reasonably be linked to an individual or household, or as otherwise defined by applicable laws.

We may collect personal information about you under the following circumstances.

1.1 Registering for an Account

  • Customer Administrators: We ask an educational institution or other exam/assessment provider (“Customer”) to designate an administrator for our Service. We collect this administrator’s name and email address to create the Customer’s primary account, which can then be used to manage the Service, create additional administrators, and view test-taker monitoring reports.

  • Users (Test-Takers): To access the Service, Users may be asked to provide certain personal information such as name, email address, and (if required by the educational institution) an institutional ID number or other identifier. This information is used to create your account and communicate with you about your use of the Service.

1.2 Taking an Exam or Assessment

  • Activity Monitoring: When you take an exam or complete an assessment while using Proctaroo, we may collect information about your activity on the device—such as which applications, websites, or documents you accessed during the exam—to generate a session report for the Customer.

  • Audio/Video Recordings (Optional): The Service includes optional features that allow for audio or video recording. If your institution or exam provider chooses to enable these features, your device’s microphone or camera may capture and record audio and/or video of you during the exam session. However, if enabled, you should receive notice from your institution prior to using these features.

  • No Biometric Data: Proctaroo does not collect biometric information (e.g., facial geometry scans) or otherwise use facial recognition features for identity authentication.

1.3 Device, Screen, and Log Data

  • Device Information: We collect information about the device and systems you use to access our Service, such as IP address, device make/model, operating system and version, language settings, and browser type/version.

  • Screen Data: Because our software monitors your on-screen activity, we may collect screen capture or screen event data during the exam. Any unrelated or non-violation data is automatically removed from our systems after the session is analyzed.

  • Log Data: We automatically record log data, such as login timestamps, usage data, and error logs that indicate whether other apps or websites were accessed during the exam.

1.4 Communication Information

  • We may collect additional information that you provide to us when you request customer support, contact us by email, or otherwise communicate with us about the Service.

1.5 Cookies

  • We use cookies and similar technologies to recognize your browser or device, learn more about your interests, and improve your experience. Cookies are small data files stored on your device. You can manage browser cookies through your browser settings, though refusing cookies may make it difficult to use certain features of the Service.


2. How We Use and Disclose Your Personal Information

We do not sell or rent your personal information to third parties. We collect and disclose your personal information only for the following purposes:

  1. Providing and Improving Our Services:

    • To authenticate and administer User accounts.

    • To monitor and record on-screen or optional audio/video activity during assessments.

    • To generate reports for the Customer about your session activity.

    • To ensure compliance with exam rules and detect any prohibited behavior.

    • To analyze and improve the performance and content of our Service, including using AI-based behavioral analysis of test-taker activity for potential anomalies or flagged behavior.

  2. Customer Support and Communication:

    • To provide troubleshooting, respond to customer inquiries, and communicate with Customers and Users about updates or changes to our Service.

  3. Legal and Regulatory Compliance:

    • To protect our rights or the rights and safety of our users, if required to do so by law or in response to a legal process.

    • To prevent, investigate, or act against potential misconduct, fraud, or illegal activities.

  4. Corporate Transactions:

    • In the event of a merger, acquisition, reorganization, or similar business transaction, personal information may be transferred to the relevant successor entity.

  5. With Consent:

    • If we intend to use your personal information for any purpose not covered by this Policy, we will seek your consent if required by law.


3. How You May Modify Your Information

  • Customers (Administrators): You can edit your information directly in the Service dashboard or by contacting us at privacy@proctaroo.com.

  • Users (Test-Takers): If you want to access, correct, or delete information collected about you, please contact your institution or exam provider. If they require our assistance, we will work with them to address your request as required by law.


4. Children’s Privacy

Proctaroo can be used by students under the age of 13 or under the age of consent in their jurisdiction, under the direction of the educational institution (“Customer”). We rely on the Customer to obtain any necessary parental or guardian consent before using the Service with minors. If we become aware that we have inadvertently collected personal information of a minor without proper consent, we will work with the Customer to delete that information promptly. Parents wishing to review or request deletion of their child’s information should contact the Customer (e.g., the child’s educational institution).


5. Family Educational Rights and Privacy Act (FERPA)

If you are a student at an educational institution subject to FERPA, Proctaroo acts as a “School Official” with a “legitimate educational interest” (as defined by FERPA §§ 99.31(a)(1)). We operate under the direct control of the institution with respect to FERPA-protected education records and use personal information only for the purposes set forth in our agreement with the Customer and as permitted by FERPA.


6. Third Party Service Providers

We do not engage external third-party providers for hosting or proctoring. We self-manage our database on Microsoft Azure (encrypted at rest). However, we may rely on service providers for support or ancillary functions (e.g., email service providers or analytics). Any service provider we engage only processes personal information on our behalf and at our instruction, in compliance with this Privacy Policy and applicable laws.


7. Security

We implement industry-standard administrative, technical, and physical measures to protect the confidentiality and integrity of personal information. Our systems are hosted on Microsoft Azure, using encryption at rest, firewalls, and other security features to help prevent unauthorized access. The internet is not perfectly secure, and we cannot guarantee absolute security. If you become aware of any unauthorized access or suspect a security breach, please notify us immediately at privacy@proctaroo.com.


8. Data Retention

  • Exam Session Data: We retain session data (including on-screen monitoring data and any optional audio/video recordings) for a period determined by our Customer or as required by law or our contractual obligations. Any unrelated or non-violation data captured during the session is removed after analysis.

  • Account Information: We retain your account information as necessary to enable your continued use of the Service or as otherwise required by law.

  • AI-Driven Behavioral Analysis Data: We store analytics derived from AI-based reviews for the duration specified by the Customer or until it is no longer needed, whichever is earlier.

  • Deletion Requests: The Customer can request deletion of your personal information at any time, and we will fulfill that request in accordance with applicable law.


9. Opt-Out Policy

  • Service Communications: We may send administrative or service-related communications to inform Customers and Users of updates or changes. You cannot opt out of these essential communications if you wish to continue using the Service.

  • Marketing or Promotional Emails: If we ever send optional marketing communications, you may opt out by following the “unsubscribe” link in those emails or by contacting us at privacy@proctaroo.com.


10. Notice for California and Other U.S. Residents

We provide the following rights to all U.S. residents, including those in California and other states with similar privacy laws. These rights may include:

  • Right to Know and Access: You may request that we disclose which categories and specific pieces of personal information we collect.

  • Right to Correct: You may request that we correct inaccuracies in your personal information.

  • Right to Delete: You may request that we delete certain personal information, subject to legal or contractual obligations.

  • Right to Non-Discrimination: We will not discriminate against you for exercising these rights.

Since we provide the Service on behalf of educational institutions, Users should direct any such requests to their institution, which will relay the request to us as needed. We do not sell personal information as defined under these state laws.


11. GDPR and International Users

Proctaroo operates primarily in the United States. If you are located outside the United States, please be aware that your personal information may be transferred to and processed in the United States or other jurisdictions where we have operations. We will protect your personal information consistent with this Privacy Policy and applicable laws, regardless of where it is stored or processed.

When we process personal information on behalf of a Customer subject to the EU or UK General Data Protection Regulation (“GDPR”), we act as a “data processor” and the Customer is the “data controller.” We rely on the instructions and authorizations from the Customer regarding the scope and purpose of processing.


12. EU-US Data Privacy Framework (Under Development)

We are not yet certified under the EU-US Data Privacy Framework (“DPF”), but we are working toward it. Until such certification is obtained, any transfer of personal information from the European Economic Area (EEA), Switzerland, or the United Kingdom to the United States is based on other lawful data transfer mechanisms (e.g., Standard Contractual Clauses) as required by applicable data protection laws. 13. Additional Data Rights

Depending on your jurisdiction, you may have additional rights regarding your personal information, such as the right to object to certain processing or to obtain a machine-readable copy of your data. If you have any questions or wish to exercise any data rights, please contact your institution or exam provider, and we will assist them as necessary to fulfill your request in accordance with applicable laws.


14. Updates to this Privacy Policy

This Privacy Policy may be updated from time to time to reflect changes to our practices or for other operational, legal, or regulatory reasons. If we make material changes, we will post the updated policy with a revised “Last Updated” date and may also provide notice by other means if required by law. Your continued use of the Service after any changes indicates your acceptance of the updated Privacy Policy.
